SHARE CONVERSIONS AND INCREASE IN SHARE CAPITAL RECORDED IN TRADE REGISTER

A total of 575 361 Alma Media Corporation Series I shares were converted into Series II shares between 16 April and 11 August 2004. Warrants under the 1999 bond with warrants were exercised to subscribe for 32 500 new Series II shares between 1 April and 21 July 2004, raising the share capital by EUR 13 665.27. These change were recorded in the Trade Register on 20 August 2004.
 
The company’s articles of association were amended by the Annual General Meeting in 2004 to allow shareholders the opportunity to convert their Series I shares to Series II shares on a one-to-one basis. Under the scheme such conversions are recorded in the Trade Register four times a year.
 
The share capital increase now registered is based on the issue of bonds with warrants to company employees approved by the Annual General Meeting held on 24 March 1999. The bond totalled 1 220 000 Finnish markka and 2 404 200 Series II shares may still be subscribed for under the attached A and B warrants. The maximum number of new shares that may subscribed for under these warrants represents 3.73% of the total number of shares and 0.79% of the votes. The share subscription period for the A warrant began on 28 May 2001 and for the B warrant on 28 May 2003. The subscription period in both cases ends on 30 June 2006.
 
The current share subscription prices under the warrants are EUR 4.75 for the A warrant and EUR 5.58 for the B warrant.

The share capital following the increase totals EUR 26 471 114.57. Under the bond with warrants to employees the share capital has so far been raised by EUR 15 052.82.
 
The converted shares and the new shares subscribed for under the warrants are due to be admitted for trading on 23 August 2004.
 
The new shares carry dividend rights for the financial year 2004.
