INVITATION TO THE ANNUAL GENERAL MEETING OF ALMA MEDIA CORPORATION
The Annual General Meeting (AGM) of Alma Media Corporation will be held on Wednesday, 12 March 2008 at 1.00 pm at the Pörssi Room of Pörssitalo, Fabianinkatu 14, Helsinki, Finland. Registration at the meeting will begin at 12.00 pm.
The matters stipulated in Article 10 of the Articles of Association.
Composition of the Board of Directors
The Nomination and Remuneration Committee of the Board of Directors proposes to the AGM that the number of Board should have seven (7) members and that the current Board members Lauri Helve, Matti Kavetvuo, Kai Seikku, Kari Stadigh, Harri Suutari and Ahti Vilppula be re-elected and Erkki Solja M Sc (Econ.) be elected as a new member until the close of the following AGM. The aforementioned persons have given their consent to the election.
The Nomination and Remuneration Committee proposes that the chairman of the Board be paid an annual fee of EUR 30,000, the vice chairman EUR 24,000 and ordinary members EUR 20,000. In addition, the chairman would be paid a fee of EUR 1000, the vice chairman EUR 700 and ordinary members EUR 500 for each Board and committee meeting that they attend.
Election of the auditors
The shareholders elect the auditors for one financial period at a time at the Annual General Meeting. In accordance with the recommendation of the Audit Committee, the Board proposes that authorized public accountants Ernst & Young Oy be elected as the company's auditors for the 2008 financial year and that the auditor's fees are paid as invoiced.
The Board proposes a dividend of EUR 0.90 per share. The dividend will be paid to shareholders who are registered as shareholders on the record date, 17 March 2008, in Alma Media Corporation's shareholder register maintained by the Finnish Central Securities Depository. The dividend payment date is 27 March 2008.
Display of financial statement documents and Board proposals
The documents relating to the annual accounts and the proposals of the Board of Directors will be on display from 28 February 2008 at the company's Head Office (Eteläesplanadi 20, Helsinki) and on its website www.almamedia.fi/yhtiokokous. They will also be sent to shareholders upon request, either in writing to Alma Media Corporation, Sirpa Jyräsalo, PO Box 140, 00101 Helsinki, Finland or by phone +358 (0)10 665 2220, or by telefax +358 (0)10 665 2270 or by email to email@example.com.
Only those shareholders who are registered in Alma Media Corporation's shareholder register maintained by the Finnish Central Securities Depository on 29 February 2008 may attend the AGM.
Shareholders wishing to attend must notify the company no later than by 12.00 pm (Finnish time) on 7 March 2008, either in writing to Alma Media Corporation, Sirpa Jyräsalo, PO Box 140, 00101 Helsinki, Finland or by phone +358 (0)10 665 2220, or by telefax +358 (0)10 665 2270 or by email to firstname.lastname@example.org. Notification is also requested of the names of any assistants, authorized representatives or representatives of legal entities. Notification should arrive before the end of the notification period.
Should a shareholder wish to be represented by proxy, the proxy should arrive at the above address before the period of notification expires.
