Appendix to the General Terms and Conditions of Sale – instructions regarding advertorials

These instructions apply to commercial appendices (”Publication”) produced by the customer (”Customer”) of Alma Media Corporation or its affiliates (“Alma Media”) to be published as an appendix to the newspapers or magazines of Alma Media (“Newspaper”).

Name and theme of the Publication

The Customer shall request approval from the Newspaper’s editor-in-chief prior to the execution of the agreement between the Customer and Alma Media for the name and theme of the Publication. The Customer may change the name of the Publication if the Newspaper has approved the change at least two months prior to the publication date of the Publication.

Content of the Publication, approval and delivery to printing house

The Customer shall ensure that the Publication and its content are compliant with legislation, good practise and self-regulation regarding publishing.

The font and other layout of the Publication shall be distinguishable from the Newspaper. The Customer shall be named clearly as the publisher of the Publication on the cover of the Publication.

The Customer shall send the draft of the Publication in its entirety to the editor-in-chief of the Newspaper at least three business days prior to the delivery to the printing house. The Customer shall make the justified amendments requested by the Newspaper at its own cost.

The Customer may not assign the ad spaces or offer the ad spaces for third parties’ (including Customer’s affiliates) resale or use subcontractors to sell the ad spaces without the prior written consent of Alma Media.

The Customer may not offer the ad spaces to companies organising corporate events without the prior written consent of Alma Media.

The Customer shall deliver the Publication ready to be appended to the Newspaper to the printing house of the Newspaper in accordance with Alma Media’s instructions.

Marketing communications regarding the Publication

The Customer shall in its marketing communication referring to the co-operation between Alma Media and the Customer regarding the Publication follow the instructions given by Alma Media. Unless otherwise stated by Alma Media, the Customer shall include the following statement in its marketing communication:

The Customer produces advertorials which are delivered as an appendix to the newspaper and the Customer is solely responsible for the contents of the advertorials. In addition to the advertorial space, the Customer has no further connection with the newspaper of Alma Media or the publisher thereof.

Cancellation or postponement of the Publication

Should the Customer wish, upon justifiable reason outside Customer’s control, to cancel or change the publication date of the Publication, the Customer shall notify Alma Media of the cancellation or change at least two months prior to the planned publication date of the Publication. Alma Media may for justifiable reasons terminate the agreement regarding the Publication with immediate effect. Cancellations and postponements done after the date mentioned above are not possible, and Alma Media may invoice the Publication in full despite the cancellation or postponement.

Invoicing

Alma Media shall invoice the Publication from the Customer one month prior to the planned publication date of the Publication. Payment term is 14 days net.

Other terms

Alma Media may terminate the agreement regarding the Publication with immediate effect if the Customer breaches these instructions. The Customer shall be liable for the damages caused to Alma Media due to the breach of these instructions.

The general terms and conditions of sale shall apply to these instructions. The Customer confirms that is has read the general terms and conditions of sale.

These instructions shall be effective as of 1 May 2017 and shall be in force until and unless terminated by Alma Media.

Alma Media may change the contents of these instructions by notifying the Customer in advance.
