Newspaper growth continued in March

TNS Gallup's latest information indicates that advertising spending grew 15.7 % in February 2007 compared to February 2006. Even without the Finnish parliamentary election spending the growth was 7.8 %. The newspapers increased their advertising sales by 17.4 % but after eliminating the election spending the growth was 6.7 %. Online media gathered rate of 27.0 % growth (even without elections 14.9 %), magazines 5.1 % (4.3 %), outdoor advertising 24.9 % (9.7 %) and cinema advertising 181.8 % (181.8 %).

TNS Gallup's latest information indicates that advertising spending grew 9.9 % in February 2007 compared to February 2006. The Finnish parliamentary election was held yesterday. Even without election spending the growth was brisk at 7.8 %. The newspapers increased their advertising sales by 7.4 %, but after eliminating the election spending the growth was 4.7 %. The highest growth rates were gathered by online media 27.0 % (without elections 22.7 %), magazines 20.7 % (20.4 %), outdoor advertising 19.4 % (12.7 %) and cinema advertising 18.9 % (18.9 %).

TNS Gallup's latest information indicates that advertisement sales by newspapers, excluding election advertising, grew 6.3 % in January. Including election advertising, the change was 4 %. The higher figure excluding election advertising - although parliamentary election campaigns are now in full swing - is due to the fact that presidential elections were held in January 2006 and advertising for this is included in the 2006 figures.

According to TNS Gallup's latest information newspapers' media sales in Finland grew by 6.3 % in December. The figure for subscribed newspapers was + 6.8 % and for free sheets + 1.9 %.

Online media grew by + 14.1 %. TNS Gallup monthly reporting includes roughly 65 % of paid online media, mainly banner advertising. The annual figures include a more extensive sample of online media, so the growth is higher.

Capital repayment schedule to be announced separately

The dividend for the financial year 2005, EUR 0.12 per share, was paid to shareholders on 20 March. The estimated payment date for the capital repayment, EUR 0.53 per share, is in September 2006. The company will publish a separate stock exchange release about the record date and payment date immediately after receiving the necessary information from the government authorities.

Alma Media to Nordic Mid Cap

OMX Nordic listing is starting on 2 October 2006. Alma Media will be classified as a Mid Cap company. Mid Caps are companies with a market capitalization of MEUR 150 or more but less than EUR 1 billion. The classification will be done twice a year. The initial classification is based on weighted average price for May 2006, and it will be updated twice a year. Alma Media's industry sector remains Consumer Discretionary.

Alma Media's Annual Report 2005 is now available at http://www.almamedia.fi/annualreport2005. There you will find pdf files consisting of the whole report and smaller pdf files of certain sections of the report.

The printed report will be available at the AGM on 8 March 2006 and will be mailed to 2 500 biggest shareholders, and to those who have ordered the 2005 report.

The report concentrates on ongoing operations and aims to present the figures as comparable as possible. The report has been produced by an Alma Media Group company Lehdentekijät and printed by our own Kainuun Sanomat sheet printing press. Other expenses are covered by advertising sales. The report includes four advertisements by non-Group companies.

Reverse acquisition, says Financial Supervision Authority

The Finnish Financial Supervision Authority (FSA) announced its opinion on 26 January concerning the IFRS treatment of Alma Media’s restructuring. In the FSA’s opinion Almanova’s acquisition of the old Alma Media shares should be treated as a reverse acquisition. The FSA also asked the IFRS section of the Finnish Accounting Board for its opinion on the matter. The IFRS section took the opposite view, considering that at issue was a direct acquisition, all of which clearly shows that the case was a difficult one even for the supervising authorities.

Alma Media is dead, long live Alma Media!

The main items in Alma Media's final financial statements were released on Friday. The final statements describe what has happened in the company between publication of the nine-month interim report and 7 November. Briefly, the company performed as expected; its net sales for the roughly five-week period totalled EUR 32 million and the operating profit was EUR 4.7 million. The final statements compare the figures covering slightly over 10 months for the merged Alma Media with last year's 12-month figures, so they have little analytical value. The months in the final quarter are also very different so the figures do not make it possible offer any forecast for the last months of the year.

Situation becomes clear

The divestment of Alma Media’s Broadcasting division proved to be more complicated than expected. Now, however, the process is essentially complete; Broadcasting has been sold, the shares held by Almanova, Bonnier and Proventus have been annulled, and Almanova and Alma Media have merged into a single company. The new company began operating under the name of Alma Media on 7 November 2005.

Almanova's time-out

Almanova’s Board of Directors decided on 27 September to postpone the merger of Almanova and Alma Media. The reason for this decision was an announcement by the Finnish Financial Supervision Authority that on publication of Almanova’s annual financial statements it could decide to review once again whether Almanova’s acquisition of Alma Media shares constitutes a direct or indirect acquisition. The interpretation has an important bearing on the shareholders’ equity of the new company formed by the merger.

In conjunction with the ongoing merger process, Alma Media’s Board of Directors decided on 8 March 2005 to amend the conditions of the company’s stock warrants programme. Accordingly, the right to subscribe for shares will now end on 30 June 2005 and not one year later as the original conditions stipulated.
