DECISIONS TAKEN BY THE EXTRAORDINARY GENERAL MEETING OF ALMA MEDIA CORPORATION
Alma Media Corporation held an Extraordinary General Meeting (EGM) today. The meeting was convened at the request of Oy Herttaässä Ab, a shareholder of Alma Media. A total of 165 shareholders representing 79.8% of all shares and votes attended the EGM.
Oy Herttaässä Ab proposed to the EGM that the number of members of the Board of Directors of Alma Media Corporation be complemented by one and that Kai Mäkelä be elected member of the Board of Directors. After a vote, the EGM decided not to increase the number of members of the Board of Directors. Lauri Helve, Seppo Paatelainen, Kai Seikku, Erkki Solja, Catharina Stackelberg-Hammarén, Kari Stadigh and Harri Suutari, who were elected Board members in the Annual General Meeting held on March 11, 2010, will continue as members of the Board of Directors of Alma Media.
In addition, Kai Telanne, President and CEO of Alma Media Corporation, presented to the EGM a clarification regarding the investment in a new printing facility in Tampere, Finland, at the request of Oy Herttaässä Ab. Since the investment belongs under the general jurisdiction of the Board of Directors, and as the Board of Directors had not submitted the matter for approval by the EGM, the EGM made no decisions on the matter.
