DECISIONS OF THE ANNUAL SHAREHOLDER’S MEETINGS OF MTV CORPORATION AND AAMULEHTI CORPORATION

AAMULEHTI CORPORATION STOCK EXCHANGE BULLETIN 18 MARCH 1998, 8.05 PM DECISIONS OF THE ANNUAL SHAREHOLDER’S MEETINGS OF MTV CORPORATION AND AAMULEHTI CORPORATION The Annual General Meetings of MTV Corporation and Aamulehti Corporation on 18 March 1998 confirmed the 1997 financial statements of both companies. The Meetings discharged the members of the supervisory boards and boards of directors and the presidents from liability. The Meetings also approved a dividend of FIM 453.75 per share for MTV Corporation and FIM 3.30 per share for Aamulehti Corporation. Decisions of the Annual General Meeting of MTV Corporation The Annual General Meeting of MTV Corporation was held in MTV’s auditorium in Helsinki on 18 March 1998, commencing at 4.00 pm. The Meeting confirmed the financial statements of the MTV Group and MTV Corporation for 1997 and approved the Board of Directors’ proposal on the distribution of the profit, according to which a dividend of FIM 453.75 per share will be paid. Dividend payment will commence on 20 March 1998 at branches of Merita Bank and at MTV Oy, Ilmalantori 2, in exchange for Coupon Number 8. The Meeting discharged the members of the Supervisory Board, the Board of Directors and the President from liability for the financial year 1997. The following were in turn for retirement from the Supervisory Board: Matti Ahde, Vesa Kallionpää, Matti Kavetvuo, Jere Lahti, Jussi Länsiö, Markku Mikkola, Eira Palin-Lehtinen and Erkki Poranen. The Meeting confirmed the composition of the Supervisory Board to be 15 members. No new members were elected to the Supervisory Board in place of those who retired. Mr Ilkka Haarlaa MSc (Econ.) APA and Authorized Public Accountants SVH Coopers & Lybrand Oy were elected to be the Company’s auditors. Jouko Malinen MSc (Econ.), APA and Timo Virkilä MSc (Econ.) APA were elected as their deputies. The term of office of the members of MTV Corporation’s Supervisory Board and the newly elected auditors and their deputies will expire upon registration of Alma Media Corporation, which is due to take place on 1 April 1998. Decisions of the Annual General Meeting of Aamulehti Corporation The Annual General Meeting of Aamulehti Corporation was held at the Hotel Ilves in Tampere on 18 March 1998, commencing at 6.00 pm. The Meeting confirmed the financial statements for 1997 of Aamulehti Corporation and the Aamulehti Group and approved the Board of Directors’ proposal on the disposal of the company’s profit for the year, according to which a dividend of FIM 3.30 per share will be paid. The record date for dividend payment is 23 March 1998 and the dividend payment date is 26 March 1998. The Meeting discharged the members of Aamulehti Corporation’s Supervisory Board and Board of Directors and the President from liability for the financial year 1997. The following were in turn from retirement from the Supervisory Board: Kari Asikainen (personnel representative), Sakari Haukka, Gustav von Hertzen, Asmo Kalpala, Esko Koivusalo, Timo Peltola, Heikki Pentti, Jarmo Raveala and Antero Siljola. Of those in turn for retirement, the following were re-elected: Kari Asikainen, Sakari Haukka, Asmo Kalpala, Esko Koivusalo, Timo Peltola, Heikki Pentti, Jarmo Raveala and Antero Siljola. The firm of authorized public accountants KPMG Wideri Oy Ab and Mr Mauri Palvi APA were appointed to be the Company’s auditors. Ms Eija Kauppi-Hakkarainen MSc (Econ.) APA, Mr Matti Sulander MSc (Econ.) APA and Mr Seppo Suuripää MSc (Econ.) APA were appointed as their deputies. The term of office of the members of Aamulehti Corporation’s Supervisory Board and the newly elected auditors and their deputies will expire upon registration of Alma Media Corporation, which is due to take place on 1 April 1998. The Supervisory Board of Alma Media Corporation will comprise 15 members. Seven of these were elected by an extraordinary meeting of Aamulehti Corporation shareholders on 18 June 1997 and five by an extraordinary meeting of MTV Corporation shareholders on 18 June 1997. The new corporation’s personnel have elected an additional three representatives to the new Supervisory Board. On 18 June 1997 the extraordinary meetings of Aamulehti Corporation and MTV Corporation shareholders appointed KPMG Wideri Oy Ab and SVH Coopers & Lybrand Oy to be Alma Media Corporation’s auditors until the Annual General Meeting to be held in spring 1999.
