AAMULEHTI CORPORATION STOCK EXCHANGE BULLETIN 1/2 MTV CORPORATION 17 February 1998, 11.00 am CONFIRMATION OF ALMA MEDIA CORPORATION’S ORGANIZATION Aamulehti Corporation and MTV Corporation will merge on 1 April 1998 to form Alma Media Corporation. The organization of the new group, formed by the parent company Alma Media Corporation and its subsidiaries, has been confirmed. The executive vice presidents of Alma Media Corporation and the directors responsible for its core businesse, corporate functions and central service units have been appointed. On 1 April 1998 Aamulehti Corporation and MTV Corporation will merge to form Alma Media Corporation. Alma Media Corporation is the parent company of the new group and its owns the shares of the subsidiaries responsible for the Group’s business operations. Alma Media Corporation is centrally responsible for financial control, strategic planning, treasury management and corporate communications on behalf of the Group, and it also supplies administrative and technical services to the Group’s various business units. President, Executive Vice Presidents and Board of Management The chairman of Alma Media Corporation’s Board of Management is the company’s President and CEO Matti Packalén. Alma Media Corporation’s Executive Vice President and deputy to the CEO is Eero Pilkama. Business group presidents Heikki Saraste and Risto Takala have also been appointed Executive Vice Presidents of Alma Media Corporation with effect from 1 April 1998. Alma Media Corporation’s Board of Management has been appointed with effect from 1 April 1998. It will comprise Eero Pilkama, President of MTV Oy, with responsibility for Alma Media Corporation’s television and national radio broadcasting activities; Heikki Saraste, President of Alpress Oy, head of Alma Media Corporation’s newspaper publishing business; Risto Takala, President of Alprint Oy, head of Alma Media Corporation’s graphic services business; Jaakko Nieminen, Senior Vice President, Corporate Development; and Ritva Sallinen, Senior Vice President, Finance. Corporate Management The corporate management of Alma Media Corporation will consist of the Group’s corporate development, financial management, treasury and corporate communications functions. Jaakko Nieminen has been appointed Senior Vice President, Corporate Development. His responsibilities include corporate development and information and marketing services, as well as technical services for Alpress and corporate management such as information management and purchasing. Nieminen will report to CEO Matti Packalén. Ritva Sallinen has been appointed Senior Vice President, Finance. Sallinen is responsible for the Group accounts, planning and reporting systems, treasury, monitoring of loan sureties, and insurance matters. Sallinen reports to CEO Matti Packalén. Alma Media Corporation’s corporate communications is responsible for the Group’s external and internal communications and investor relations. Ahti Martikainen has been appointed Vice President, Corporate Communications, reporting to CEO Matti Packalén. Ms Marja Holm, Vice President - Brand Development, reports to Matti Packalén, likewise. Administrative services Jaakko Paavela has been appointed Senior Vice President, Corporate Administration, with responsibility for the Group’s personnel administration, legal matters, real estate, and official relations. He will also take over responsibility for public relations on the retirement of Aamulehti Corporation’s Executive Vice President. Paavela, who also continues as Executive Vice President of MTV Oy, reports to Eero Pilkama, Executive Vice President of Alma Media Corporation. Jaakko Paavela will also be the secretary of the Board of Management.
